Terms of Service

1. Definitions

In these Terms of Service ("Terms"):

  • "BSight", "we", "us", or "our" refers to BSight, the operator of the Service.
  • "Service" refers to the BSight web application, website, APIs and all related services.
  • "User", "you", or "your" refers to any individual or entity that accesses or uses the Service.
  • "Subscription" refers to the paid plan that grants access to the Service.
  • "Content" refers to all data, text, graphics and other materials generated by or displayed through the Service.

2. Acceptance of Terms

By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use the Service.

We reserve the right to update these Terms at any time. Material changes will be communicated by updating the "Last updated" date at the top of this page. Your continued use of the Service after such changes constitutes acceptance of the revised Terms.

3. Account Registration

To use the Service, you must create an account by signing in with Google OAuth. By registering, you represent and warrant that:

  • You are at least 18 years of age or the age of majority in your jurisdiction, whichever is greater.
  • The information you provide is accurate, complete and current.
  • You are authorised to use the Google account used for registration.

You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You must notify us immediately at support@bsight.uk if you suspect unauthorised access to your account.

4. Subscription and Billing

4.1 Free Trial

New users may be eligible for a free trial period of 7 days. During the trial, you will have access to the full features of the Service. If you do not cancel before the trial period ends, your subscription will automatically convert to a paid subscription.

4.2 Subscription Fee

The Service is offered on a monthly subscription basis at a rate of £49 per month. All prices are quoted in British Pounds Sterling (GBP) and are inclusive of applicable taxes unless otherwise stated.

4.3 Payment Processing

All payments are processed securely through Stripe. By subscribing, you authorise Stripe to charge your chosen payment method on a recurring monthly basis. We do not store your full payment card details on our infrastructure.

4.4 Cancellation

You may cancel your subscription at any time through your account settings. Upon cancellation:

  • You will retain access to the Service until the end of your current billing period.
  • No partial refunds will be issued for the remaining days of the current billing period.
  • Your account data will be retained for 30 days after cancellation, after which it may be deleted.

4.5 Failed Payments

If a scheduled payment fails, we may retry the charge and/or suspend your access to the Service until payment is successfully processed. We may also notify you via email to update your payment information.

5. Acceptable Use Policy

You agree not to use the Service to:

  • Violate any applicable law, regulation, or third party rights.
  • Attempt to gain unauthorised access to the Service, other users' accounts, or our underlying systems and infrastructure.
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service.
  • Use automated tools (bots, scrapers, crawlers) to access the Service in a manner that exceeds reasonable use or circumvents rate limits.
  • Resell, redistribute, or sublicense access to the Service without our prior written consent.
  • Transmit any malicious code, viruses, or other harmful material.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Use the Service to harass, abuse, or harm another person or entity.

We reserve the right to suspend or terminate your account if we reasonably determine that you have violated this Acceptable Use Policy.

6. Intellectual Property

All intellectual property rights in the Service, including but not limited to the software, design, logos, trademarks, documentation and content created by BSight, are and remain the exclusive property of BSight. These Terms do not grant you any right, title, or interest in or to the Service except for the limited right to use it in accordance with these Terms.

You retain ownership of any data you submit to the Service. By using the Service, you grant us a limited, non exclusive licence to process your data solely as necessary to provide and improve the Service.

7. Service Availability

We strive to keep the Service available at all times, but we do not guarantee uninterrupted or error free access. The Service is provided on an "as is" and "as available" basis without any service level agreement (SLA).

We may suspend, modify, or discontinue the Service (or any part of it) at any time, with or without notice, for maintenance, updates, security, or any other reason. We shall not be liable for any loss or damage arising from such suspension, modification, or discontinuation.

8. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non infringement and accuracy.

We do not warrant that the data or analytics provided by the Service are accurate, complete, or up to date. You acknowledge that marketplace data may change and that you use the Service and its outputs at your own risk.

9. Limitation of Liability

To the maximum extent permitted by applicable law:

  • BSight shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, goodwill, or business opportunity, arising out of or in connection with your use of or inability to use the Service.
  • Our total aggregate liability for all claims arising from or relating to these Terms or the Service shall not exceed the total fees paid by you to BSight in the 12 months preceding the event giving rise to the claim.

Nothing in these Terms shall exclude or limit our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by law.

10. Indemnification

You agree to indemnify, defend and hold harmless BSight and its officers, directors, employees, agents and affiliates from and against any and all claims, liabilities, damages, losses, costs and expenses (including reasonable legal fees) arising out of or in connection with:

  • Your use of the Service.
  • Your violation of these Terms.
  • Your violation of any applicable law or the rights of any third party.
  • Any data or content you submit through the Service.

11. Termination

We may suspend or terminate your access to the Service at any time, with or without cause and with or without notice. Reasons for termination may include, but are not limited to:

  • Violation of these Terms or the Acceptable Use Policy.
  • Non payment of subscription fees.
  • Request by law enforcement or government agencies.
  • Discontinuation of the Service.

Upon termination, your right to use the Service will cease immediately. Sections of these Terms that by their nature should survive termination shall remain in effect, including but not limited to intellectual property, limitation of liability, indemnification and governing law.

12. Modifications to the Service

We reserve the right to modify, update, or discontinue any features or functionality of the Service at any time. We may add, change, or remove features without prior notice. Significant changes to pricing or the core functionality of the Service will be communicated to active subscribers via email or in app notification with reasonable advance notice.

13. Modifications to Terms

We reserve the right to revise these Terms at any time. When we make changes, we will update the "Last updated" date at the top of this page. For material changes, we will make reasonable efforts to notify you (e.g. via email or in app notice). Your continued use of the Service following the posting of revised Terms constitutes your acceptance of the changes.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions. You agree that any legal action or proceeding arising out of or relating to these Terms or the Service shall be brought exclusively in the courts of England and Wales.

15. Dispute Resolution

In the event of a dispute arising out of or in connection with these Terms, you agree to first attempt to resolve the matter informally by contacting us at support@bsight.uk. We will endeavour to resolve your concern within 30 days.

If the dispute cannot be resolved informally, either party may pursue resolution through the courts of England and Wales. Nothing in this section shall prevent either party from seeking injunctive or other equitable relief from a court of competent jurisdiction.

16. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

17. Entire Agreement

These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and BSight with respect to the Service and supersede all prior or contemporaneous communications, agreements and understandings, whether oral or written.
